HiWinders Car Club By-Laws                Rev. 3/5/2007

 

On behalf of the officers and fellow members we welcome you to HiWinders Car Club.

As a member of HiWinders Car Club, you are entitled to all privileges and properties as described and set forth in our By-Laws and Constitution.

 

HiWinders Car Club was founded in Circa 1961 and reorganized in 1998 by the charter members. You are now part of this heritage and will be expected to perpetuate an active roll as a member and Car buff.

 

HiWinders Car Club Constitution

 

Article #1

 

This club shall be known as the "HiWinders Car Club", original charter granted 1961; reorganized 1998.

 

Article  #2

 

The officers of the club shall be President, Vice President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer and Board of Trustees.

 

 Article # 3

 

The duties of the President shall be to preside at all regular meetings of the club, to appoint all committees not otherwise ordered by the club, and to have general supervision of the affairs of the club. The Vice President shall take over when the President is not present.

 

 Article # 4

 

The duties of the Secretary shall be to keep a record of the minutes of all meetings of the club and to send out notices of special meetings, and perform such other duties as generally related to that office. The Assistant Secretary shall take over when the Secretary is not present.

 

Article # 5

 

The duties of the Treasurer shall be to collect dues from the members and all other monies due to the club, make payments and keep an account of the club funds, prepare a monthly statement and balance statement to the club when called upon by the Board of Trustees. The Assistant Treasurer shall assume the duties in the absence of the Treasurer.

 

Article # 6

 

The duties of the Road Captain shall be to plan Car Cruises the for club tours and things in general.

 

  

Article # 7

 

The duties of the Board of Trustees shall be to have a general control of the club affairs and they shall act for the club in all things unless ordered by 75 % of the club members.

 

 Article # 8

 

All elective offices shall be filled at an annual election to be held during the month of November and the officers shall hold office from January 1 to December 31, inclusive.

 

 Article # 9

 

Any member nominated for the office of President or Treasurer must be a member in good standing and must have been a member for two (2) years.  Board of Trustees must be a member in good standing. The present number of Trustees is twelve (12), as listed below. That number shall never be less than six (6) Trustees. The club members have the right to vote and elect new Trustees to keep the number at six (6).

 Article # 10

 

The regular meeting of the club shall be held on the 1st Thursday of the month starting at 7:15 but the President may, by notifying the members in advance, call a special meeting at any time.

  

Article # 11

 

Seven  (7) members in good standing shall constitute a quorum for the transaction of  (HiWinders) club business, provided that one of the following; President; Vice President; Secretary; Treasurer; or members of Board of Trustees is present.

  

Article # 12

 

The Constitution and the rules and Regulations may be amended or added to by submitting the proposed amendment or addition in writing to the Board of Trustees at a regular meeting, for approval. If approved it shall be read and posted in the newsletter and then voted on at the next regular meeting. It shall require a two-thirds (2/3) vote of the members present to pass an amendment or addition.

 

 Article # 13

                     

Discretion shall be used in the manner in which club finances are used. The members must approve any expenditure exceeding Fifty Dollars ($50.00).

 

 Article # 14

 

All charter members are life members and are on the Board of Trustees. The membership will be 35 active members plus charter members.

 

Article #15

 

Official club colors are Red and White, but does not limit to those colors only. Clothing can by worn by member's partner.

 

 

Article #16

 

An Inactive Member of the club would be considered a member of good standing and also good character within the club, but not able to attend all meetings and other functions of the club due to work and or medical reasons. Inactive members of the club have the right and privileges of all the members in the club with the exception of the voting rights.

 

In order to achieve an Inactive Membership Status it shall require a two-thirds (2/3) vote of the members present at a regular club meeting. 

 

                    

RULES AND REGULATIONS

 

1.An applicant must be 18 years of age or older, a licensed driver and have a Car owned by him or his guardian.

 

2. Dues shall be $ 15.00 a year, paid in person by the member, payable to the Treasurer at any regular meeting on or before the last day of December. Any member not paid by this date will be terminated from the club membership. Reinstatement is accepted by the approval vote of the members of the club.

 

3.Applicant shall be sponsored by two (2) club members. Applicant shall first fill out application for membership and then application shall be presented at the next regular meeting and read by the sponsors. If no objections, the applicant will appear at the next regular meeting for questions on reason for joining the club. Finally, applicant shall be voted on at the next regular meeting.

 

4.Reasons for termination - Non - payment of dues or missing meetings with no reasonable excuse and unbecoming behavior used by a member.
